Terms of Service

These Terms of Service (“Terms”) govern your use of FocusHQ. FocusHQ is operated by Andrii Tymoshchuk FOP (sole proprietorship registered in Ukraine, tax group 3; contact: legal@focushq.app). Payment processing for paid plans is handled by Paddle.com Market Ltd (Ireland) as the merchant-of-record; their terms apply at checkout in addition to ours.
1. Service
FocusHQ is a productivity application for macOS (with a web companion dashboard at focushq.app) that aggregates messages, tasks, and calendar events from connected third-party services and provides AI-assisted triage, drafting, focus sessions, and planning. By creating an account or using the Service you agree to these Terms and the Privacy Policy.
2. Account
You sign in with Google or Apple Sign In. You are responsible for maintaining the security of your account and of any connected OAuth credentials. We may suspend or terminate accounts that violate these Terms or applicable law, with notice where practicable.
3. Third-Party Integrations
FocusHQ connects to services like Gmail, Google Calendar, Slack, Microsoft Outlook/Teams, Notion, Todoist, Linear, Jira, GitHub, Figma, Trello, Zoom, Google Drive, OneDrive, Bitbucket, and Confluence via OAuth. We access only the scopes you approve and never send data back to those providers except for actions you explicitly request (e.g. sending a reply, moving a task). You may disconnect any integration from Settings → Integrations at any time; tokens are deleted immediately on disconnect.
4. AI Features
AI-assisted features (message triage, draft replies, daily planning, focus recommendations, in-app chat, semantic search) are powered by third-party model providers — currently Anthropic (Claude models) and Voyage AI (embeddings). Message subjects, short snippets, and task titles may be sent for processing; full message bodies are redacted or truncated where possible. No AI provider trains models on your data — we use zero-retention API tiers where available and contractually prohibit training use otherwise. AI output is advisory; you remain responsible for reviewing drafts and suggestions before sending them or acting on them.
5. Acceptable Use
You agree not to:
- Reverse engineer the application or attempt to extract source code, except as permitted by applicable law.
- Use the Service for automated scraping, data harvesting, spam, or workloads that systematically exceed plan limits.
- Share a single account across multiple users. Team plans exist for shared use.
- Upload or process data you do not have the right to process.
- Attempt to disrupt or probe the Service for vulnerabilities without prior written consent (coordinated disclosure via security@focushq.app is welcome).
6. Plans, Subscriptions & Billing
FocusHQ offers a Free plan (up to three integrations, 7-day message history), a Pro plan, and a Team plan. Feature matrix and current pricing are published at focushq.app/#pricing.
Paid plans are billed monthly or annually via Paddle as merchant-of-record. Paddle handles card processing, invoicing, VAT / sales-tax calculation and remittance, and — where available — PayPal, Apple Pay, and local payment methods. Subscriptions auto-renew at the end of each billing period until cancelled. You can cancel any time from Settings → Billing; paid access remains active until the end of the current period and no partial refunds are issued for the unused remainder except as required by law.
Refunds, chargebacks, and EU cooling-off rights are handled per our Refund Policy.
7. Trial & Free Plan
We offer a time-limited Pro trial to eligible new accounts. No card is required for the Free plan. Trials auto-revert to the Free plan at expiry unless you upgrade; we never silently charge you after a trial.
8. macOS App License
We grant you a personal, non-exclusive, non-transferable license to install and run the FocusHQ macOS application on Macs you own or control, solely in connection with the Service. The application checks for updates automatically (via Sparkle on direct downloads) and verifies a signed update manifest before installing any update.
9. Your Data
You retain all rights to the data you bring to FocusHQ. You grant us a limited licence to process it solely to operate the Service and provide features you request. On account deletion, operational data is removed immediately and residual encrypted backups are purged within 30 days (see Privacy Policy §6).
10. Warranty Disclaimer & Limitation of Liability
FocusHQ is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. We are not liable for indirect, incidental, consequential, or special damages, or for loss of profits, data, or goodwill, arising from your use of the Service or from failures of third-party integrations. Our aggregate liability for any claim is limited to the greater of the fees you paid to us in the 12 months preceding the claim and USD 50. Nothing in these Terms limits liability that cannot lawfully be limited (e.g. gross negligence, wilful misconduct, or statutory consumer-protection claims).
11. Changes
We may update these Terms. Material changes will be announced at least 14 days before they take effect by email to your account address and an in-app banner. Continued use after the effective date constitutes acceptance. Older versions are kept available on request.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Ukraine, excluding its conflict-of-law rules. Subject to mandatory consumer-protection rules of your country of residence, disputes are resolved by the competent courts of Kyiv, Ukraine. EU consumers may additionally use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
